By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Showly.

You are responsible for all activities that occur under your account, whether or not authorized by you. If you believe your account has been compromised, you must notify Showly immediately.

Showly reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or present security or legal risks.

3. Our Services

Showly provides an AI-native website hosting platform that enables users and compatible AI agents to build, preview, deploy, publish, host, and manage websites.

Depending on your subscription plan, the Services may include features such as:

  • Website deployment and hosting;
  • Preview environments;
  • Custom domain connection;
  • Publish approval workflows;
  • Workspace collaboration;
  • Activity logs and deployment history;
  • Role-based access control;
  • AI agent and MCP integration;
  • APIs and developer tools; and
  • Other features and services made available by Showly.

The availability of specific features may vary depending on your subscription plan or product updates.

Showly provides hosting infrastructure, deployment, domain connection, publish approval workflows, activity logging, and related platform services for websites.

Showly may update, improve, modify, suspend, or discontinue any part of the Services from time to time.

Unless expressly stated otherwise, Showly acts solely as a technology platform and does not become a publisher, developer, operator, or owner of any Website or User Content made available through the Services.

4. AI Agents and Integrations

The Services support integrations with compatible AI agents, development tools, APIs, and other third-party platforms.

You may connect AI agents or third-party services to your account using supported authentication methods, including API keys, access tokens, or other credentials.

You are solely responsible for managing the associated permissions and authentication credentials used to access the Services.

Your use of any third-party service remains subject to the applicable terms and privacy policies of that third party.

5. User Websites and Content

You retain ownership of all websites, source code, content, designs, images, data, and other materials that you create, upload, generate, or publish through the Services ("User Content").

By using the Services, you grant Showly a worldwide, non-exclusive, royalty-free license to host, cache, reproduce, display, transmit, and otherwise process your User Content solely for the purpose of operating, maintaining, improving, and providing the Services.

You represent and warrant that you have all necessary rights and permissions to upload, publish, and use your User Content through the Services.

You are solely responsible for your User Content, including its accuracy, legality, security, and compliance with applicable laws and third-party rights.

Showly does not review, endorse, or monitor User Content before publication and is not responsible for any content published through the Services.

Showly acts solely as a hosting and deployment platform. Except as required by applicable law or as necessary to operate the Services, Showly does not actively monitor, screen, or moderate User Content before or after publication.

If you remove your User Content or terminate your account, Showly may retain limited copies where necessary for security, backup, legal compliance, or operational purposes.

You acknowledge that websites, source code, or other content generated by AI agents or other automated tools may contain errors, inaccuracies, security vulnerabilities, or infringe third-party rights. You are solely responsible for reviewing, testing, approving, deploying, and publishing your Websites and User Content, and for ensuring compliance with all applicable laws, regulations, and third-party rights.

6. Domains and Hosting

Where the Services include website hosting or deployment functionality, the following terms apply.

Where supported, you may connect a custom domain to your Website. You represent that you own or are authorized to use any domain connected to the Services.

You are responsible for maintaining your domain registration, DNS configuration, and any third-party services associated with your domain.

Showly will use commercially reasonable efforts to provide reliable hosting services.

Showly provides hosting and deployment infrastructure only and does not verify the legality, accuracy, safety, or regulatory compliance of any Website, User Content, or online service made available through the Services.

Showly may perform maintenance, upgrades, or emergency actions that temporarily affect the availability of the Services.

7. Fees and Subscription

Certain features of the Services require a paid subscription.

Subscription plans, pricing, usage limits, quotas, and available features are described on the applicable Pricing page or within the Services.

Subscription fees are charged in advance and are non-refundable except as required by applicable law. You are responsible for any applicable taxes unless otherwise stated.

By purchasing a subscription, you authorize Showly and its payment service providers to charge the applicable subscription fees, taxes, and other authorized charges using your selected payment method. Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew.

You may cancel your subscription at any time through your account settings. Unless otherwise stated, cancellation will take effect at the end of the current billing period.

Showly may modify its pricing, subscription plans, or commercial terms from time to time. Any changes to pricing or subscription plans will apply no earlier than your next billing cycle unless otherwise required by applicable law.

8. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not use the Services to:

  • violate any applicable law or regulation;
  • infringe the intellectual property or other rights of any person or entity;
  • publish fraudulent, deceptive, defamatory, or unlawful content;
  • distribute malware, malicious code, phishing pages, or other harmful materials;
  • interfere with or disrupt the security, integrity, or availability of the Services;
  • gain unauthorized access to any account, system, or network;
  • use automated methods to abuse or overload the Services;
  • attempt to reverse engineer, interfere with, or circumvent the security features of the Services; or
  • engage in any activity that may reasonably harm Showly, its users, or third parties.

Showly reserves the right to investigate suspected violations of this Section and may remove content, suspend or terminate accounts, or take other appropriate actions in accordance with these Terms.

Copyright infringement claims may be submitted in accordance with our Copyright & DMCA Policy.

9. Intellectual Property

Showly and its licensors own all rights, title, and interest in and to the Services, including the platform, software, APIs, documentation, trademarks, logos, designs, and all related intellectual property rights.

Except for the limited rights expressly granted under these Terms, no license or ownership interest in the Services is transferred to you.

You retain ownership of your User Content and any intellectual property rights you hold in such content.

You may not copy, modify, distribute, sell, sublicense, reverse engineer, or otherwise exploit any part of the Services except as expressly permitted by applicable law or with Showly's prior written consent.

If you provide feedback, suggestions, or ideas regarding the Services, you agree that Showly may use such feedback for any purpose without restriction or compensation to you.

10. Third-Party Services

The Services may integrate with or rely upon third-party services, including AI models, cloud infrastructure providers, domain registrars, payment processors, authentication providers, source code repositories, or other third-party technologies.

Your use of any third-party service is subject to the applicable terms and privacy policies of that third party.

When you choose to connect third-party AI agents, development tools, or other external services, those services may independently collect, process, store, or transmit information in accordance with their own terms and privacy policies.

Showly does not own, operate, control, endorse, or guarantee any third-party service and is not responsible for the availability, security, accuracy, performance, operation, privacy practices, or any loss arising from your use of such third-party service.

11. Suspension and Termination

You may stop using the Services at any time.

Showly may suspend, restrict, or terminate your access to the Services if:

  • you violate these Terms;
  • your use creates security, legal, or operational risks;
  • we are required to do so by applicable law or a governmental authority; or
  • it is otherwise necessary to protect the Services, our users, or third parties.

Where reasonably practicable, Showly will provide notice before suspending or terminating your account.

Termination does not affect any rights or obligations accrued before termination.

12. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by applicable law, Showly disclaims all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or uninterrupted operation.

Showly does not guarantee that:

  • the Services will be uninterrupted, secure, or error-free;
  • any website published through the Services will remain continuously available;
  • AI-generated output will be accurate, complete, or free from infringement;
  • any deployment, hosting, or third-party integration will always function without interruption.

You acknowledge that you are solely responsible for reviewing, approving, and publishing your Websites and User Content.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Showly and its affiliates, officers, directors, employees, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including any loss of profits, revenue, business opportunities, goodwill, data, or business interruption, arising out of or relating to your access to or use of the Services.

To the fullest extent permitted by applicable law, Showly's liability arising out of or relating to these Terms or the Services shall be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

Without limiting the foregoing, Showly shall not be responsible for any loss or damage resulting from:

  • the content, legality, or operation of any Website published through the Services;
  • AI-generated output;
  • failures or interruptions of third-party services, domain providers, cloud infrastructure, or Internet connectivity;
  • unauthorized access resulting from your failure to safeguard your authentication credentials;
  • any actions, decisions, deployments, publications, or modifications initiated by AI agents, APIs, automation tools, scripts, MCP servers, or other third-party integrations acting under your authorization.

14. Governing Law and Changes to These Terms

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, unless otherwise required by applicable law.

Showly may update these Terms from time to time. If we make material changes, we will publish the updated Terms on our website or provide notice through the Services.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
